Google Ads Campaign – Terms & Conditions

 

1. Service Scope

  • We will set up, manage, and optimize Google Ads campaigns on behalf of the Client.

  • Services include keyword research, ad copywriting, campaign structuring, targeting, and performance monitoring.

  • Any additional services (graphic design, landing page creation, website changes, etc.) will be quoted separately.

2. Client Responsibilities

  • The Client must provide accurate business details, website access (if required), and creative inputs in a timely manner.

  • The Client must ensure their website complies with Google’s advertising policies (e.g., content, privacy policy, legal requirements).

3. Budget & Payments

  • Ad spend (media budget) is paid directly by the Client to MR Ventures unless otherwise agreed.

  • Management fees charged by the MR Ventrues are separate and non-refundable.

  • Payment terms: The ads Budget should be paid prior to  the month to MR Ventures. Failed to pay the ads would be instantly stopped

4. Ownership of Accounts & Data

  • The Google Ads account remains the property of the Client, unless the account is created and owned under the Agency’s MCC (Manager Account).

  • All performance reports, campaign data, and analytics will be shared with the Client.

5. Performance Disclaimer

  • While we strive for the best results, we cannot guarantee specific outcomes (e.g., sales, leads, or ROI) due to factors outside our control (industry competition, website performance, seasonality, etc.).

  • The Client understands that digital advertising results may vary and require continuous optimization.

6. Compliance & Restrictions

  • All campaigns will adhere strictly to Google Ads policies.

  • The Agency reserves the right to refuse or suspend campaigns that involve prohibited or restricted content.

  • The Client is responsible for ensuring that all promotional claims are accurate and legally compliant.

7. Termination & Cancellation

  • Either party may terminate the agreement with 05 notice.

  • All outstanding dues must be cleared before termination.

  • Prepaid management fees are non-refundable.

8. Confidentiality

  • Both parties agree to maintain confidentiality of business data, campaign strategies, and performance reports.

9. Limitation of Liability

  • The Agency is not liable for any direct, indirect, or consequential loss arising from campaign performance, Google policy changes, or third-party actions.

10. Agreement

  • By engaging our services, the Client acknowledges and agrees to these Terms & Conditions.
