1. Purpose

These terms govern the release, transfer, and relinquishment of all rights, ownership, control, and responsibilities of the website [Website Name / URL] from the Releasor to the Releasee.

2. Scope of Release

The Releasor hereby:

  1. Transfers and releases all rights, ownership, title, interest, and administrative access to the Releasee.
  2. Provides access to all associated assets including:
    • Domain registration & management accounts
    • Hosting accounts and control panel
    • Source code, content, databases, and media
    • Social media handles, analytics, and email accounts linked to the website
  3. Confirms that, post-transfer, the Releasor has no rights or claims over the website

3. Representations & Warranties

The Releasor represents that:

  1. They are the sole owner of the website and all its content.
  2. The website is free from any claims, liens, or disputes from third parties.

4. Indemnity

The Releasor agrees to indemnify and hold harmless the Releasee from any claims, losses, or liabilities arising from:

  • Ownership disputes before the release date
  • Breach of intellectual property rights prior to transfer
  • Any prior agreements or obligations connected to the website.

5. Limitation of Liability

Once the website is transferred, the Releasor is not responsible for:

  • Website maintenance, hosting, or content updates
  • Legal or financial obligations incurred by the Releasee post-transfer
  • Any claims arising from the Releasee’s use of the website

6. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information such as login credentials, databases, and internal content during and after the transfer.
